Terms & Conditions

2.1 purpose

This Agreement governs the Supplier’s participation on the PixyliveX platform, including listing designs and delivering projects secured through PixyliveX.

2.2 Commission

The Supplier agrees that PixyliveX will earn a 20% commission on all projects secured through the PixyliveX platform. Commission:

• Is earned upon project confirmation
• Applies whether payment is made to PixyliveX or directly to the Supplier
• Must be settled within agreed payment terms

2.3 Design Listing Permission

The Supplier grants PixyliveX permission to:

• Display and market the Supplier’s existing designs
• Use renders, specifications, and descriptions for platform and marketing purposes

All design ownership remains with the Supplier.

2.4 Delivery Guarantee Framework

The Supplier acknowledges that every project will include a Delivery / Performance Guarantee Agreement, which forms part of each confirmed order. The Supplier agrees to:

• Commit to realistic timelines
• Assign a project manager
• Accept financial penalty clauses for late delivery

2.5 Capacity Clause

If the Supplier cannot deliver a confirmed project due to capacity or operational limitations, PixyliveX may appoint another supplier to build the design. Where practical, the original Supplier will be credited as the design originator.

2.6 Accuracy of Uploaded Information

The Supplier is responsible for pricing accuracy, inclusions and exclusions, and build specifications. Errors remain the Supplier’s responsibility.

2.7 Project Roles

PixyliveX will: Manage client engagement.

The Supplier will:

• Answer all client requests within 24hrs of receiving them
• Execute production and build delivery
• Ensure a project manager is dedicated to the client on site

2.8 Non-Circumvention

The Supplier acknowledges that PixyliveX introduces clients and opportunities through its platform. The Supplier agrees that it shall not, directly or indirectly: Contract with, or perform services for any client introduced by PixyliveX outside of the PixyliveX platform.

This restriction applies during the term of this agreement and for 24 months after the last project involving the introduced client.

PixyliveX commission remains payable on any work arising from PixyliveX introductions, regardless of how the client chooses to pay. Any breach may result in immediate removal from the platform, immediate payment of outstanding commission, and recovery of damages. This clause survives termination of this agreement.

2.9 Termination

Either party may terminate this agreement with 30 days’ written notice. PixyliveX reserves the right to suspend or remove suppliers for non-performance, non-payment of commission, circumvention, or breach of agreement.

3.1 Payment Terms

70% deposit and 30% on handover of completed stand.

3.2 Delivery Commitment

The Supplier commits to delivering the stand fully completed by the agreed handover time. The Supplier confirms that all timelines were provided and approved by the Supplier.

3.3 Financial Time Penalty

If the stand is not handed over on time: 5% of total stand value (incl VAT) will be deducted per hour of delay.

If the stand is not ready for show opening, or elements are incomplete: The remaining 30% payment is forfeited.

3.4 Project Manager Requirement

The Supplier must assign a Project Manager onsite during build and handover.

3.5 Acceptance

Both parties agree to the timelines and penalties outlined in this agreement.
